NOTICE OF ANNUAL GENERAL MEETING

NOTICE IS HEREBY GIVEN that the Thirty Sixth (36^th) Annual General Meeting of Environmental Foundation (Guarantee) Limited will be held at the Registered Office, No. 3A, 1st Lane, High Level Road, Kirulapone on 30^th September 2017 at 10.00 a.m.

1. To receive, consider and adopt the Directors’ Report and the Statement of Accounts for the financial year ended 31^st March 2017 with the report of the Auditors thereon.

2. To re-elect Ms Manori Gunawardena who retires by rotation at the Annual General Meeting in terms of 22 (5) the Articles of Association of the Organization, as a Director.

3. To re-elect Mr Nigel Bartholomeusz who retires by rotation at the Annual General Meeting in terms of 22 (5) the Articles of Association of the Organization, as a Director.

4. To re-elect Mr Vajira Wijegunawardane who retires by rotation at the Annual General Meeting in terms of 22 (5) the Articles of Association of the Organization, as a Director.

5. To approve any donations made by the Organization for the financial year ended 31^st March 2017 and determine and authorize the Directors to determine donations for the ensuing year.

6. To re-appoint Messrs. SJMS Associates, Chartered Accountants, as Auditors of the Organization and to authorize the Directors to determine their remuneration.

1. A member entitled to attend and vote at the Meeting is entitled to appoint a Proxy to attend and vote instead of him/her.
2. A Proxy need not be a member of the Company.
3. A Form of Proxy is enclosed for this purpose.
4. The completed Form of Proxy should be deposited at the registered office of the Company, No. 3A, 1st Lane, High Level Road, Kirulapone Sri Lanka, not less than 48 hours before the time appointed for the Meeting.
5. Please bring your National Identity Card to the Meeting.
